1.1 SystemiqOS is provided by Angela Mills, trading as SystemiqOS, Auckland, New Zealand ("we", "us"). SystemiqOS is our system for travel businesses, built on the HighLevel platform. We configure it for your business, host it, keep it running and support it. You contract with us, not with HighLevel. We're not a marketing agency, bookkeeper, or legal or financial adviser.
1.1A SystemiqOS isn't a HighLevel subscription. The features switched on for you, who has which access, and how support works are set by us and your order. They may differ from what HighLevel offers directly.
1.2 These Terms apply to your SystemiqOS subscription. Your subscription is made up of:
If they differ, your order wins, then these Terms, then the Rules and the Privacy Statement. Nothing in your order lets you do something HighLevel's rules don't allow.
1.3 You accept these Terms when you sign or accept your order, or tick the box to accept them at sign-up. We keep a record of which version you accepted and when.
1.4 SystemiqOS runs on HighLevel. Your use is also subject to HighLevel's Terms of Service (gohighlevel.com/terms-of-service), which you agree to follow, and the rules of our other providers. When HighLevel, a provider or the law changes a rule, the change applies to you when it applies to us. We tell you as soon as we can and update our Platform Rules. You can cancel at any time (clause 14.1), and if a change takes away something your order includes or costs you more, we refund anything you've paid ahead.
3.1 SystemiqOS is for businesses. You confirm you are buying it for your business. Every user must be 18 or over.
3.2 You give us complete and accurate details, and keep them up to date, including your billing details.
3.3 You can't use SystemiqOS if you, or anyone you give a login to, owns, directs, is a partner in or works for a business that sells a platform like SystemiqOS or HighLevel, unless we agree first in writing. We won't say no without a good reason. You can't use SystemiqOS to learn how to compete with it.
3.4 You are responsible for your users and for everything done with your logins, whether you allowed it or not. You:
3.5 You can't use SystemiqOS from a country, or for a person or business, that New Zealand or United States sanctions or export laws prohibit.
4.1 While your subscription is paid, we give you a licence to use the platform and our build for your own business. The licence is limited, not exclusive, and can't be transferred.
4.2 You don't own the platform or our build. Paying a setup fee or any other fee doesn't change that.
4.3 You can't:
4.4 HighLevel and we may change, add or remove features. If a change removes something your order says is included, we tell you, and you can end your subscription at no cost.
5.1 Your order sets your allowances: the number of users and the emails you can send each month. Support is set by clause 7.
5.2 Everything else is covered by fair use. That includes contacts, file storage, workflows, pages and forms. Use them for your own business at a normal level for a business of your size.
5.3 If your use is much higher than normal, slows the platform, or risks your account or others (for example, very large sends, very large imports, or automations that run without stopping), we may ask you to reduce it, limit it, or move to a plan that fits. We tell you first unless it is urgent. HighLevel may also slow, limit or pause your use without notice if it decides your use is too high. If that happens, we tell you as soon as we can.
5.4 Some features aren't switched on in your plan, such as AI tools, texts, calls and WhatsApp. We switch them on when you ask. Before we switch one on, we give you its usage rates and you agree them. Any setup it needs is development (clause 7A). Usage charges are at those rates, plus GST. Texts, calls and email run on LeadConnector, HighLevel's phone and email service, under its terms. Usage charges are paid from a prepaid balance in your account, which tops up from your card when it runs low. If the balance can't be topped up, those features stop until it is. Your order sets a monthly usage limit. If you reach it, those features pause until you agree a higher limit. You pay usage charges up to your end date, even if they're billed after it. Usage charges aren't refundable.
5.5 You can see your email use in your account, and we tell you if we see you getting close to your allowance.
5.6 Some add-ons can't be cancelled or refunded once they're switched on. We tell you before we switch one on.
6.1 Your subscription is billed in advance, monthly or yearly as your order says, by card through our payment provider. It renews automatically at the end of each billing period, and your card is charged the current price, until you cancel. For yearly plans, we email you at least 30 days before each renewal.
6.2 You authorise us to charge your card for your subscription, usage charges, and any extras you agree to in writing. This stays in place until all fees are paid, including after your subscription ends.
6.3 Fees are in New Zealand dollars, plus GST. We give you a GST receipt for every payment, including usage charges. We don't hold your card details. Our payment provider does.
6.4 We give you at least 30 days' notice by email of a change to your subscription price. You can cancel before the new price starts. A price change on a yearly plan starts at your next renewal. Usage rates change when our providers change them, and that isn't a price change under this clause.
6.5 If a payment fails, we email you the same day and try your card again. If it is still unpaid 3 working days later, your subscription ends and access to your system stops.
6.5A If you pay what's owed within 30 days of that end date, we restart your subscription as it was. The reinstatement fee in your order covers republishing, reconnecting and testing your system. Anything beyond that is quoted first.
6.6 If a charge looks wrong, tell us in writing within 30 days of the receipt, before you dispute it with your bank, and we'll sort it out. If you dispute a correct charge with your bank, you still owe it, you pay any dispute fee our payment provider charges us, and we may pause your account until it is resolved.
6.7 Refunds:
6.8 If fees are overdue, you pay our reasonable costs of collecting them.
6.9 If your order has a minimum term and you cancel before it ends, you pay the early exit amount in your order. It covers setup work we haven't recovered yet. It doesn't apply if you end because of anything we did or changed.
7.1 Support runs Monday to Friday, 9am to 5pm New Zealand time, not on NZ public holidays. Ask by email to [email protected]. All support comes from us, not HighLevel.
7.2 Support is part of every plan. It keeps your system working as configured, including any development we make for you after you start. Once we've built something, keeping it working is part of support.
7.3 We aim to respond to:
These are aims, not guarantees.
7.4 Support doesn't include development, content, training, or doing your work for you.
7.5 If you or your users change your system's configuration (automations, workflows, forms, pages, templates or settings) and something stops working, putting it right is charged at the hourly rate in your order. We tell you the cost in writing first, and only start once you agree.
7A.1 Anything new, changed or extended in your system is development. We scope it and quote it in writing, and only start once you agree.
7A.2 Once it's delivered, it becomes part of your system, and support covers it (clause 7.2).
7A.3 Who owns it is set by clause 12.
8.1 You and your users follow our Platform Rules at systemiqos.com/rules, which set out HighLevel's Code of Conduct and AI rules.
8.2 You use the platform lawfully. You hold every licence, permission and consent your business needs to use it. You own, or have the right to use, everything you put into your account, including any code. Websites, forms and emails you publish meet the accessibility laws that apply to you.
8.3 You're the sender of every message from your account. You follow the marketing and phone rules of every country you send to, and the rules of phone carriers. Every marketing message has consent, says who it is from and has a working unsubscribe (Unsolicited Electronic Messages Act 2007). You stop sending to anyone who unsubscribes within 5 working days. You keep a record of each consent. Texts can't promote alcohol, gambling, tobacco or adult content.
8.4 You handle your customers' information as the Privacy Act 2020 requires. This includes telling them who holds it, and telling them when you get their details from someone else, such as a person booking for a group. You give your customers the notices, and get the consents, the law needs for their details to be held by us, HighLevel and our providers. You decide how long you keep their details, keep them no longer than you need, and delete them when the law says you must. You answer their privacy requests within the time the law sets. If your customers log in to anything on the platform, such as a portal or course, you give them terms and a privacy policy at least as strict as these.
8.5 If you use AI features, including TripIQ and HighLevel's own AI, you:
8.6 You control the DNS for any domain you send email from, or have the owner's written permission. If you work under a host agency, the host sets up its sending domain with us. We suggest you buy domains from a registrar in your own name, and we help connect them. If you buy a domain inside the platform, HighLevel is its registered owner and controls it under HighLevel's terms.
8.7 We keep admin access to your account, because we need it to run and support it. You authorise us to access your account to build, run and support it. You also agree HighLevel may access and monitor your account for support and security, and to enforce its terms.
8.8 You help us answer any request from police, regulators or phone companies about your account.
8.9 If you sell anything through the platform, such as trips, deposits or courses, you're the seller, and each sale is between you and your customer. Your payment pages show your contact details, your refund policy and when you'll deliver. You handle your own refunds, chargebacks and tax.
8.10 Don't store full card numbers or card security codes anywhere in your account, including notes, emails and messages. Take card payments through a payment provider's own payment pages.
9.1 We hold your content for you, as your agent under section 11 of the Privacy Act 2020, and use it to provide the service. Our platform providers handle it under their own terms. The current list is at systemiqos.com/providers. HighLevel may use and share information as its Privacy Policy says, owns the data about how the platform is used, and may remove content that breaks its rules without notice.
9.1A We also use business tools, including AI tools, to help us build and support your system. When we do, we share only what the task needs, and never your customers' passport, health or card details. Those tools' providers handle what we share under their own terms, which may let them use it for their own purposes.
9.2 Your customers' privacy requests go to you, and we help you answer them.
9.3 We tell you within 24 hours of learning of a breach involving your content. We tell you what we know then, and keep you updated. You decide who to notify, including the Privacy Commissioner and your customers, and you cover the cost of your notices. If you notify anyone, tell us, so we can tell HighLevel.
9.4 You can export what the platform allows, such as contacts, at any time through your logins. Neither we nor HighLevel can promise your content will never be lost, so keep your own copy of anything you can't do without.
9.5 The business named in your order owns the account. Between you and us, who paid or who set it up doesn't change that. If there's a dispute about who owns it, HighLevel may ask for proof and make its own decision, and the account may be paused until it is settled.
9.6 How we handle your own details, as our client, is in our Privacy Statement.
10.1 SystemiqOS runs on HighLevel and other providers. We can't promise the platform will always be available or free of faults, or promise more than they promise us.
10.2 If HighLevel or the law requires it, we may have to pause your account, stop messages sending, or end your subscription. HighLevel can also turn off logins, or pause or close accounts, without notice. Where we're allowed to, we tell you why and help where we can.
10.3 Apps and integrations from other companies, including HighLevel's Marketplace, are used at your own risk and under their terms. If you bring in data from another app, you have the right and the consents to do that.
10.4 Phone numbers we set up for you are released 14 days after your subscription ends, unless you ask us to port them out before your end date. If your account is paused for more than 30 days, HighLevel may release them sooner. A number you ported in from your own provider stays yours, and we help you move it back.
11.1 AI features, including TripIQ, are only switched on if your order includes them. TripIQ runs alongside your account and uses Anthropic's AI (clause 11.2).
11.2 With TripIQ switched on, you ask us to send what it reads in your account to Anthropic, the AI provider, to produce each answer. Answers may be produced in other countries. Under Anthropic's commercial terms, it may not train its models on what TripIQ sends, and it deletes that data within 30 days unless it is flagged for breaking its usage rules.
11.3 AI can get things wrong. You check everything TripIQ drafts before you use or send it, including anything you enter into a booking system.
11.4 TripIQ has a monthly usage cap, set in your order. When you reach it, TripIQ pauses until your next billing month, unless we agree a top-up.
11.5 If we stop offering TripIQ, we give you 30 days' notice, stop charging for it and refund anything paid ahead.
11.6 If we agree, TripIQ can run on your own Anthropic account. Its terms and costs are then yours, and a problem with your Anthropic account isn't a fault in our service.
11.7 HighLevel's own AI features send what they read to HighLevel's AI providers, under HighLevel's terms.
12.1 Your content is yours. We use it only to run, support and fix your account, and when the law requires it.
12.2 The platform and our build are ours, or our providers'. We may reuse our build for other clients.
12.3 Once paid for, made for you work is yours. The form, page or email it sits in is part of our build.
12.4 Photos you give us, or that come from your website, are yours. Photos from our own collection stay ours, and you can use them only while you subscribe. Stock images stay under their library's licence, and we name the source of each one.
12.5 What TripIQ drafts from your content is yours to use once you've checked it. The prompts behind it stay ours.
12.6 If you suggest an improvement, we can use it.
12.7 With your OK, we may name you as a client and show your logo. You can withdraw that at any time.
13.1 We may pause your account if you break these Terms or the Platform Rules in a serious way or don't fix a breach within 7 days of our notice, if HighLevel or the law requires it, or if your use puts the platform or other people at risk.
13.2 While your account is paused, your users can't log in, and we don't delete your content. Some features may stop working while it is paused. If it stays paused for more than 30 days, HighLevel may release your phone numbers or delete parts of the account. We tell you why and how to fix it. Access comes back once it is sorted.
14.1 You can cancel at any time by emailing [email protected] before your next payment date. There is no notice period. If your order has a minimum term, clause 6.9 applies. Your subscription runs to the end of the period you have paid for.
14.2 We can end your subscription with at least 30 days' notice by email.
14.3 We can end it sooner if a payment is unpaid (clause 6.5), if you break these Terms and don't fix it within 7 days of our notice, if HighLevel stops providing the platform to us or suspends or ends our account, or if the law requires it.
14.4 You can end it straight away if we break these Terms and don't fix it within 7 days of your notice. We refund unused months.
14.5 If we stop trading, we give you at least 30 days' notice and your exit pack at no cost. Where HighLevel allows it, we approve moving your account to a HighLevel account you hold. If your account moves to you, you can keep using our build in it for your own business, but not sell or share it. TripIQ ends, and we refund any TripIQ fees you've paid ahead.
15.1 Your licence to use the platform and our build ends, except under clause 14.5 or your order.
15.2 You can export what the platform allows through your logins until the end date.
15.3 You have 7 days after the end date to ask for an exit pack: your contacts, customer records and notes, appointments, form answers, files and images, and your made for you work, as CSV, PDF or ZIP files. The fee is in your order. There is no fee if you end because of anything we did or changed, or if we end your subscription for any reason except unpaid fees or a breach you didn't fix. If your subscription ended for unpaid fees, we still give you a contacts export on request, and the full exit pack once overdue fees are paid.
15.4 Conversation history (emails and texts) isn't in the exit pack. We can export it as extra work, quoted first.
15.5 You stop using our photos when your subscription ends, and have 30 days to replace them, including in anything already published.
15.6 Except under clause 14.5 or your order, we don't approve moving your account to another agency or HighLevel account. If HighLevel moves it anyway under its own rules, our build stays ours and your licence to use it ends.
15.7 We delete your content 30 days after the end date. If you've asked for an exit pack, we deliver it before we delete. After that, HighLevel may keep its data for 90 days or more under its own rules, and providers may keep backups for a short time. We keep our billing records and your acceptance record for 7 years, as NZ tax law requires.
15.8 Clauses 4.3, 6, 12, 15, 16 and 18 still apply after your subscription ends, along with any fees or usage charges you owe.
16.1 We provide the platform with reasonable care. We don't promise any leads, bookings, sales or revenue.
16.2 Neither of us is liable to the other for indirect loss, such as lost profit or lost business.
16.3 Each of our total liability to the other is capped at the subscription fees, excluding GST and usage charges, paid in the 12 months before the claim. The cap doesn't apply to fees you owe us, refunds we owe you, a breach of clause 8, or loss caused on purpose or by fraud.
16.4 If someone claims against us or HighLevel because of your content, your messages, your sales, your use of AI, data you brought in, or a breach of clause 8 or the Platform Rules, you cover our reasonable costs. This includes fines and charges from HighLevel, phone carriers or regulators. We tell you about the claim quickly and let you have your say on how it is handled.
16.5 We are both in trade and you are buying SystemiqOS for your business. We agree the Consumer Guarantees Act 1993 doesn't apply, and that this is fair and reasonable.
16.6 Nothing in these Terms limits your rights under the Fair Trading Act 1986.
16.7 We're not responsible for delays caused by things outside our control, including outages at HighLevel or our other providers. If one lasts more than 30 days, you can end your subscription at no cost.
This clause covers changes we choose to make to these Terms, your price or what your plan includes. Changes made by HighLevel, our providers or the law are covered by clause 1.4. We only make a change for a good reason, and we give you at least 30 days' notice by email. You can end your subscription before the change starts at no cost, and we refund anything paid ahead. If you keep your subscription after the change starts, the new Terms apply.
18.1 Your order and these Terms are our whole agreement. This doesn't limit your Fair Trading Act rights.
18.2 We each keep the other's private business information confidential.
18.3 We may transfer this agreement to a company we own, with notice to you. Your terms stay the same. If you don't want to move, you can end at no cost within 30 days of our notice. You can't transfer this agreement or your account without our written OK.
18.4 If a court says part of these Terms can't be used, the rest still applies.
18.5 Only you and we can enforce these Terms.
18.6 You agree we can send notices, receipts and changes to these Terms by email to the billing email in your order. Please keep it up to date. An email counts as received when it reaches that inbox. If it arrives after 5pm or on a day that isn't a working day, it counts as received the next working day. You send notices to [email protected].
18.7 If we disagree, we talk first. If it isn't sorted within 20 working days, either of us can go to mediation or court.
18.8 New Zealand law applies, and New Zealand courts decide any dispute.
